The purpose of this contract is to specify the terms for your airline to purchase a license for The eTARS Aviation Management System from Flight Data Management, Inc.

The contract has three phases:

Phase One: Detailed Design
Phase Two: Contract Signing
Phase Three: Installation

PHASE ONE, Flight Data Management, Inc. will work with your airline's personnel to finalize the proposal in terms of fine tuning the hardware and software offerings to align them with your airline's requirements. The completion of this phase is the presentation of the final written proposal to your airline

If the final proposal is approved by your airline both parties will complete Phase Two of this contract by both parties signing the contract.

If your airline decides to abandon the project at this phase there is no money due to Flight Data Management, Inc. And there is no obligation on the part of your airline to Flight Data Management, Inc.

PHASE TWO, Flight Data Management, Inc. and your airline sign and date this contract. This will allow Flight Data Management, Inc. to proceed with implementation of any/all changes to eTARS required by your airline.

Phase Three, Flight Data Management, Inc. is responsible for installation of the programming and training of your personnel at your airline's location for the eTARS Aviation Management System. Your airline is responsible to insure that all equipment, cables, power and communication facilities are installed or are available prior to Flight Data Management, Inc. installing eTARS Aviation Management System.

Flight Data Management, Inc. will install the eTARS Aviation Management System and train the personnel at the remote stations. The time to install the equipment at each of the remote stations should not exceed one day per station. Your airline is responsible to insure that all equipment, cables, power and communication facilities are properly installed or available at each remote station.

Travel Expenses

Your airline is responsible for all travel and living expenses for Flight Data Management, Inc.'s personnel.

To insure that your airline approves of all travel and living by Flight Data Management personnel, your airline will make the reservations, pay for and make available to Flight Data Management the tickets, prepaid hotel and living expenses.

Total Price

The total price of the license for your airline to use the eTARS Aviation Management System is free. This includes any necessary updates required by your airline, installation, training, and all future updates installed at no cost.

Payment Plan

Your airline agrees to make the following payments to Flight Data Management, Inc.

The first payment is to be made when your airline and Flight Data Management, Inc. sign this contract. At this time a US$ 2,500.00 start-up payment is to be made. This money is non-refundable in the case where your airline later decides to abandon this project. If for any reason Flight Data Management, Inc. were to abandon this project this money is to be repaid to your airline within 7 working days of the cancellation of the project by Flight Data Management, Inc.

The second payment occurs when eTARS is installed and running at either your location or on one of our dedicated servers. At this time a US$2,500.00 payment is due.

Reoccurring monthly maintenance payments start thirty (30) days after your airline puts the eTARS Aviation Management System into operation. The cost of the maintenance contract is a negotiation between you and Flight Data Management.

A second reoccurring payment is for the dedicated server. The dedicated server includes the connection and usage cost for connect to and usage of the Internet. The cost of the dedicated server is a negotiation between you and Flight Data Management.

Maintenance Support, Flight Data Management, Inc. agrees to the following:

Maintenance provides solution of all programming problems as they occur. The reporting mechanism is for your airline personnel to report the problem using a standard problem form supplied by Flight Data Management via the internal Email that is part of eTARS. eTARS also monitors itself looking for proactive as well as real time problems and will automatically report these problem to Flight Data Management's maintenance department. Flight Data Management, Inc. will provide a solution to the problem as quickly as possible and to install the fix on the affected system(s). Support is provided twenty-four hours, seven days per week. Thirty minute response time is provided.

Flight Data Management, Inc. has in escrow all source code for the programming and development tools that comprise eTARS. In the event that Flight Data Management, Inc. is no longer doing business as usual your airline is entitled to a complete copy of the source code and development tools for use in maintaining the system. This does not imply that Flight Data Management, Inc. is assigning any rights to your airline other than the use of the source code for maintenance of the reservation system.

This contract is governed under the laws of the country where is is executed.
